Terms of Service

1. Who these terms cover

SellerSouk is operated by Upcapital Global FZCO, a Better for You Brands company (Dubai Silicon Oasis, Dubai, UAE). By creating an account you agree to these terms as a seller, buyer, or both.

2. The marketplace

SellerSouk facilitates the resale of enterprise assets between organizations. We provide AI-assisted valuation, listing tools, buyer matching, and payment facilitation. We are not a party to the underlying sale of goods between buyer and seller unless we purchase an asset directly via an accepted instant offer.

3. Fees

We charge a flat success fee of 10% of the gross sale price, plus 5% VAT on that fee (a tax we collect and remit, not additional platform revenue), deducted automatically from the seller's proceeds when a sale completes. If a real payment processor is used to move funds, its actual processing charges are passed through to the seller at cost — we never mark those up or add a second commission on top. There are no fees to list, browse, or make offers, and no other charges beyond these. If a sale is refunded through our dispute process, our fee is retained as the cost of handling that dispute.

4. Listings and accuracy

Sellers are responsible for the accuracy of item descriptions, condition, and ownership. AI-generated valuations and descriptions are estimates and aids, not guarantees — sellers should review generated content before publishing.

5. Payments

Where a seller has connected a Stripe payout account, buyer payments are processed by Stripe and settle directly to the seller, minus our fee. Where no payout account is connected, transactions settle on our internal ledger and the seller is responsible for arranging fulfilment and payment collection directly with the buyer through the platform's tools.

6. Disputes

Either party may open a dispute within 14 days of a sale completing. SellerSouk reviews the evidence provided by both sides and may issue a full or partial refund, or deny the dispute. Our decision on a dispute is final. Our commission is not refunded when a dispute results in a refund.

7. Verification

Email verification is required before buying, selling, or accepting offers. Trade license (KYB) verification is reviewed separately and may take longer; it does not block platform use but affects your organization's trust score.

8. Account suspension

We may suspend or terminate accounts for fraud, repeated disputes found against a party, non-payment, or violation of these terms.

9. Liability

SellerSouk provides valuation and matching tools "as is." We are not liable for losses arising from inaccurate self-reported condition, buyer/seller conduct outside the platform, or third-party service outages (payment processing, email delivery).

10. Governing law

These terms are governed by the laws of the United Arab Emirates. Disputes not resolved through our internal process are subject to the exclusive jurisdiction of the Dubai courts.
